Terms of Service

Neonous AI is a personal AI assistant platform that takes real action on your behalf. We believe AI should do more than just chat — it should set reminders, save places, plan trips, and handle your tasks. Our mission is to bridge the gap between AI conversation and real-world action. Powered by the best AI models available, Neonous turns your words into results.

You must be at least 18 years old to use our Services. By using Neonous AI, you represent and warrant that: • You are at least 18 years of age • You have the legal capacity to enter into a binding contract • You are not barred from using the Services under applicable law • If you are using the Services on behalf of an organization, you have authority to bind that organization to these Terms If you do not meet these requirements, you must not access or use the Services.

By accessing or using the Neonous AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms constitute a legally binding agreement between you and Neonous AI. Your continued use of the Service constitutes acceptance of any updates or modifications to these Terms.

Neonous AI is an AI agent builder platform that enables users to create, configure, and deploy AI agents through a web interface. The platform provides: • Dynamic agent creation and configuration • Multiple LLM provider support (Google Gemini, OpenAI, etc.) • Custom tool creation (HTTP and JavaScript execution) • MCP (Model Context Protocol) server integration • Visual workflow builder • Chat interface for testing agents • Artifact management and sharing AI-generated outputs may not always be accurate, complete, or appropriate. You are responsible for reviewing and verifying all outputs before relying on them.

To use certain features of the Service, you must register for an account. When you register, you agree to: • Provide accurate, current, and complete information • Maintain and promptly update your account information • Maintain the security of your password and accept responsibility for all activities under your account • Not share your account credentials with others • Immediately notify us of any unauthorized use of your account We reserve the right to verify your identity and may require additional information to confirm your eligibility. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

Neonous AI offers subscription plans with different token allocations and features. By subscribing to a plan, you agree to: • Pay the applicable fees for your chosen plan • Token usage is measured and deducted from your balance • Different AI models have different token multipliers • Unused tokens may expire at the end of billing periods (plan-dependent) • Monthly limits reset at the beginning of each billing cycle All payments are processed securely. Refunds are handled on a case-by-case basis. We reserve the right to change pricing with 30 days notice to existing subscribers.

"Inputs" refers to prompts, configurations, and data you provide to the Service. "Outputs" refers to AI-generated responses and content produced by agents. You retain ownership of your Inputs. Subject to your compliance with these Terms, we assign to you all rights in Outputs generated for you. You are responsible for ensuring your Inputs and how you use Outputs comply with applicable laws. Content you create using our Service includes: • Agent configurations and instructions • Custom tools and workflows • Chat histories and conversations • Artifacts and saved content By using the Service, you grant us a limited license to process and store your content solely for providing the Service. When you share content through community features, you grant other users a license to use that shared content.

We welcome your feedback, suggestions, and ideas about the Services. If you provide us with feedback, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, copy, modify, and distribute that feedback without any obligation to compensate or credit you. This includes but is not limited to: • Feature requests and suggestions • Bug reports and improvements • Ideas for new functionality • Comments on user experience

You agree not to use the Service to: • Create malicious code, malware, or harmful content • Generate spam, phishing content, or fraudulent materials • Violate any applicable laws or regulations • Infringe on intellectual property rights of others • Harass, abuse, or harm other users • Attempt to gain unauthorized access to systems • Circumvent rate limits or usage restrictions • Generate content for securities trading or financial advice without proper licensing • Develop products or services that compete with Neonous AI • Use automated means to access the Service except through our official API • Use the Service for any illegal purposes Custom JavaScript tools run in a sandboxed environment. Users are responsible for MCP server connections they configure.

The Service has the following limitations based on your plan: • Maximum number of agents • Maximum number of MCP servers • Maximum number of custom tools • Workflow execution timeout (150 seconds) • API rate limits (60 requests/minute default) We reserve the right to modify these limits with notice.

The Service integrates with third-party AI providers and services: • Google (Gemini models) • OpenAI (GPT-4 models) • Perplexity (search models) • User-configured MCP servers Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content provided by third-party services. MCP servers you connect are your responsibility. Ensure you trust and have authorization to use any external servers you configure.

We may update the Services from time to time. Updates may occur without advance notice and may include: • Bug fixes and security patches • New features and improvements • Changes to existing functionality • Model updates and enhancements You acknowledge that such updates may affect how you use the Services. We are not obligated to provide any specific updates or maintain backward compatibility.

You may terminate your account at any time through the settings page. Upon termination: • Your access to the Service will be revoked • Your data will be deleted and permanently purged after 30 days • Shared community content may remain available • We may retain certain data as required by law We may terminate or suspend your account immediately, without prior notice, for: • Violation of these Terms • Fraudulent or illegal activity • Non-payment of fees • Extended periods of inactivity • Any other reason at our discretion

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee: • The accuracy, completeness, or reliability of AI-generated content • Uninterrupted or error-free service • That the Service will meet your specific requirements • The security of data transmitted through third-party services TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEONOUS AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES IS LIMITED TO THE GREATER OF: (A) $100 USD, OR (B) THE AMOUNT YOU PAID US IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE.

You agree to indemnify, defend, and hold harmless Neonous AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: • Your use of the Services • Your violation of these Terms • Your violation of any rights of a third party • Your User Content or Inputs • Any application or service you build using our platform

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding. YOU AGREE TO WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTION LAWSUITS. Arbitration Opt-Out: You may opt out of binding arbitration within 30 days of accepting these Terms by emailing [email protected] with your name, email, and a clear statement that you wish to opt out. If you opt out, disputes will be resolved in the state or federal courts of Delaware.

We reserve the right to modify these Terms at any time. When we make material changes: • We will provide at least 30 days notice before changes take effect • Notice will be provided via email and/or prominent display on the Service • Continued use of the Service after changes take effect constitutes acceptance If you do not agree to the updated Terms, you must stop using the Services before the changes take effect. We encourage you to review these Terms periodically for any changes.
